Member Job Opportunity: Fair Ways Fostering - Charity/Company Secretary

Where and when do we need you?
Fair Ways CBS and Fair Ways Foundation are two separate, but linked charities who share the same objective of delivering the highest standard of care and education for the children and young people we support. We are seeking someone who can provide expert administrative support and advice to the Chairs of the two charities as well as the management of Fair Ways CBS to ensure we are complying with governance and regulatory duties. It is an exciting time to join Fair Ways after the recent separation of the two organisations and the conversion to charitable status for Fair Ways CBS.

In this role you will be involved exciting and rewarding things like:
  • Ensuring organisation of all board meetings and efficient minute taking for both Fair Ways Foundation and Fair Ways CBS, including the management of all associated correspondence and information
  • Acting as the Charity/Company Secretary for the Charities and their operating companies, including administering and maintaining the statutory books
  • Understanding, ensuring compliance with, monitoring and advising the Board and Management on: Governance documents, the legal responsibilities of charities and companies and relevant legislation and internal governance rules and requirements.
  • Filing all relevant statutory returns and information with the Charity Commission, Companies House and Financial Conduct Authority.
  • Ensuring policies and Terms of Reference are up to date, approved and adhered to. Developing a Service Level Agreement or similar form of agreement between Fair Ways Foundation and Fair Ways CBS to recognise the services provided between the two entities.
  • Demonstrating effective communication skills, verbal, non-verbal and written as well as being reliable, enthusiastic, creative and honest with a passion to improve the lives of children and young persons.

Full job description will be provided prior to interview. This role will work to an average of 7.5 hours per week to be worked flexibly around board requirements. This post will be a hybrid role working from home and at our central support office in Portsmouth and will be subject to an enhanced DBS check.

You and your specialisms
Efficient and dedicated support to our board of trustees is core to achieving our mission of making a difference through passionate care, support, and education. To support this, you will have the following:
  • Experience of charity and corporate governance requirements
  • An understanding of corporate structuring particularly the interface between a charitable holding company and operational subsidiaries.
  • Operational experience at a Board Level in either Finance, Accounting or Law.

In addition, the following would be beneficial although not essential:
  • A formal Qualification in Corporate Governance or Company Secretarial Qualification
  • Ability to proactively engage with all stakeholders both internal and external at a senior level ensuring professional relationships.
  • Experience of commercial property leases
